FIRSTHAND MARKETS 2025
VENDOR TERMS AND CONDITIONS
These terms and conditions outline the duties and responsibilities of YOU, hereafter known as Vendor and/or Artist and/or Craftsperson, and Firsthand LLC, a Colorado limited liability company (hereafter known as “FIRSTHAND”), the producer of fine art and craft markets.

The Artist or Craftsperson who designs the work and is a principal of the business must be present to show their work. If the craft or art is signed by an individual, they are the person required to be at the show. If the business is named after the artist, that individual must be at the show in person.

All work must be original and completely finished. No imports, kits, items made from kits, items made using commercial patterns or commercial molds, items assembled from pre-manufactured components, unfinished work, items made from elephant or whale ivory, embellished items, commercial T-shirts, commercial sweats, or art and craft supplies may be displayed or sold. No multi-level marketing (MLM) or local commercial vendors such as window and door manufacturers.

Cancellation Refund Schedule: Once your booth fees have been received, you are contracted to be present on market day. If the need to cancel arises, we offer a 50% refund on cancellations made up to two weeks prior to market day. No refunds or rain-checks will be given on cancellations made within two weeks of the market date due to the proximity of the event. Once you cancel, you forfeit your spot and FIRSTHAND will attempt to fill your space with a vendor from the waiting list.

Vendor agrees that any fees submitted may be applied to any current or past outstanding invoice the Vendor has with FIRSTHAND.

Vendors may only show and sell work typified by the submitted images.

All of Vendor’s booth and display, including chairs, must be placed within the confines of the space. Nothing is to be placed in the aisles or outside of your assigned booth space without the prior consent of F IRSTHAND.

FIRSTHAND reserves the right to revoke the license granted by this contract at any time, including at the show, by refunding the space fees paid by the Vendor. FIRSTHAND will not be liable for paying any travel expenses, lost revenue or any other liability whatsoever beyond the space fees paid by the Vendor as a result of enforcing this provision.

The Vendor’s booth must be open and staffed during all regular show hours. In most cases, anyone arriving late, leaving before closing or breaking down during show hours will not be invited to future shows.

All exhibits, goods and materials must be removed at the close of the day of the show. Failure to have everything off site in a timely fashion may result in extra charges.

Vendors must abide by all fire regulations and/or decisions of the representatives of local fire departments. All booth materials shall be in accordance with local fire regulations.

Generators, gas-powered lanterns and open flames are not permitted.

Electricity will be unavailable at all of FIRSTHAND’s outdoor markets.

Vendor’s booth must not interfere with adjacent exhibits in any way.

All exhibits are to be in keeping with the overall family-oriented theme of the event.

All Vendors are responsible for keeping their area clean during show hours, including clean-up at end of show. All displays should be neat and clean and tables should be covered on all sides to the floor with a suitable, professional looking cover of flame retardant materials.

Vendors and their helpers must exhibit professional behavior at all times while on the show site. FIRSTHAND reserves the right, in its sole discretion, to determine what constitutes professional behavior. Violation of this rule will result in the Vendor, their helpers and exhibits being excluded from the show site with no refund or allowance whatsoever. In addition, Vendors violating this rule may be removed from future Firsthand shows with refunds in accordance with the policy detailed in condition #3 above.

Vendors may not sublet or apportion space to anyone else.

Vendor must possess a current Colorado state sales tax license. Vendor is responsible for remitting all sales tax to local, county and/or state authorities. As per the Colorado Office of Economic Development & International Trade: "all product sales are subject to sales tax, and individual vendors selling at art and craft fairs must collect and remit state and local sales tax."

FIRSTHAND will not be liable for refunds or any other liabilities whatsoever for the failure to fulfill this contract due to any act of God, public enemy, strikes, statutes, ordinances, or any legal authority, or any cause beyond its control. Additionally, all Orchard Town Center-located events are “rain or shine” events, and will only be canceled - or called for an early close - in the event of extreme weather conditions or an emergency situation. In the unlikely event of such cancellation or early closure, there will be no refunds or rain-checks given. Closure or cancellation of these event is at the sole discretion of the Orchard Town Center, and not FIRSTHAND.

Insurance of the Vendor's work and all contents of the Vendor's booth space must be obtained at Vendor's own cost. Business-loss insurance is also available for cancellation events; please contact your insurance broker for more information.

Vendors shall be liable for delivery, handling, erection, and removal of their own displays and materials.

Vendors found in violation of any of the “Conditions of the Show” may be excluded from the current and/or future shows at the sole discretion of FIRSTHAND. In such cases, refunds will be provided as detailed in condition #3 above. Under no circumstances, including negligence, shall FIRSTHAND be liable for any direct, indirect, incidental, special or consequential damages resulting from such action.

FIRSTHAND may require the removal of work considered to be in violation of these conditions and reserves the right to make final interpretation of all conditions.

PAYMENT SCHEDULE. Upon acceptance by the jury to a specific market, a vendor must pay a $30-per-market non-refundable deposit to secure their booth spot. The balance must be paid on the following schedule:

For markets held in June, the payment deadline is April 15;

For markets held in July, the payment deadline is May 15;

For markets held in August, the payment deadline is June 15;

For markets held in September, the payment deadline is July 15;

For markets held in October and November, the payment deadline is August 15.
